Review of Developments in State Securities Regulation

Developments in state securities regulation are reviewed, including significant judicial and administrative cases and significant regulatory developments. Recent significant cases have addressed such issues as: 1. definitions of security, 2. exempt transactions, 3. securities fraud, and 4. standards for criminal intent under the securities laws. State regulation, as it addresses limited liability companies and of the raising of capital by small businesses, is examined.
