The plaintiffs do not allege that Fairhurst failed to make a good faith effort to establish an information system. The Delaware Supreme Court has held that under Delaware law, corporate officers owe the same fiduciary duties as corporate directors, which logically include a duty of oversight. Delaware law presumes that directors and officers act in good faith, and a complaint must plead facts sufficient to support an inference of bad faith.
