Zusammenfassung: | The setting up of a company first means obtaining the patrimonial autonomy which makes it possible on the one hand to limit the responsibility for the head of company on the assumption of a private limited company or a public limited company and on the other hand to largely facilitate the transmission of the company in form. The legal entity allows clear separation of professional inheritance and non-professional inheritance. The fate of the one does not depend then any more on fate of the other. Another interest of the legal entity is to obtain a certain decisional autonomy. This autonomy remains framed all the same since the leader of company is the agent associated with the shareholders, and according to the case, must thus always act in their social interest. |
