Zusammenfassung: | Examines the legislation that is applicable to the governance of small businesses in South Africa and NZ. Considers the South African Close Corporation Act 69 of 1984 and the New Zealand Companies Act of 1993. Identifies and discusses the major characteristics and features of each Act from a practical point of view, and notes that the two legal systems are seen to be vastly different with respect to the legislation that is applicable to small businesses. Suggests that law reformers in NZ take cognisance of the South African Close Corporation Act as a way forward to encourage small business development.
