Zusammenfassung:	PROBLEM TO BE SOLVED: To provide an optical modulation panel capable of easing complication of manufacturing steps while reducing disclination, and to provide a display device and an electronic apparatus including the optical modulation panel.SOLUTION: The optical modulation panel includes an array substrate configured by arranging a plurality of pixels each including a pixel electrode and a pixel circuit like a matrix, a counter substrate arranged oppositely to the array substrate and a liquid crystal layer arranged between the array substrate and the counter substrate. The counter substrate includes a common electrode arranged oppositely to respective pixel electrodes and a control electrode insulated and separated from the common electrode. The control electrode is arranged on a position not opposite to at least respective pixel electrodes along end edges of the pixel electrodes.
