Zusammenfassung:	PROBLEM TO BE SOLVED: To provide a polyorganosiloxane-containing graft copolymer having excellent flame retardance and a flame-retardant resin composition that uses the graft copolymer and has excellent flame retardance. SOLUTION: The polyorganosiloxane-containing copolymer is obtained by in turn polymerizing 0.5-10 pts.wt. of a vinyl monomer (B) composed of 50-100 wt.% of a polyfunctional monomer (b-1) and 0-50 wt.% of another copolymerizable vinyl monomer (b-2) in the presence of 50-98 pts.wt. of a polyorganosiloxane particle (A) to form a graft base point formation layer and 1.5-49.5 pts.wt. of a vinyl monomer (C) composed of 14-100 wt.% of a nitrile group-containing acrylic unsaturated monomer (c-1) and 0-86 wt.% of another copolymerizable vinyl monomer (c-2) to form a graft outer layer.
