The lignin modified phenolic resin based composite material is prepared from, by weight, lignin modified phenolic resin, reinforced fibers, inorganic filler, a curing agent and a coupling agent. The preparation method of the lignin modified phenolic resin comprises the following steps: 1) adding lignin and formaldehyde into one reaction kettle to obtain a component A; 2) adding phenol and formaldehyde into another reaction kettle, and obtaining a component B after dehydration; 3) adding the component A and acid into the component B, and obtaining the lignin modified phenolic resin after dehydration.
