The invention relates to a data card with software authentication function, a software authentication system and a software authentication method. The data card includes a lock net security module that is arranged between a global system for mobile communications (GSM) module and a data card interface; and the lock net security module is used for receiving and storing key information of at least one piece of protected software and a software authentication parameter that is needed for execution of the key information as well as simultaneously carrying out authentication on the authentication parameter and international mobile subscriber identification number (IMSI) information provided by a universal integrated chip card (UICC).
