Zusammenfassung:	A flow regulating apparatus (60) and a gas water heater (1) having same. The flow regulating apparatus (60) comprises: a housing (100) provided with a water inlet (110) and a water outlet (120); a flow regulating assembly (200) disposed inside the housing (100) and provided with a temperature and flow regulating orifice (230) that is located between the water inlet (110) and the water outlet (120), wherein the flow regulating assembly (200) further comprises a regulating component used for regulating the opening of the temperature and flow regulating orifice (230); and a temperature sensing assembly (300) disposed inside the housing (100) and connected to the regulating component, wherein the temperature sensing assembly (300) drives the regulating component according to the temperature of water in the housing (100). The flow regulating apparatus has the advantages of short regulating time and high regulating precision.
